Pre-market engagement A RFI was previously sent out (Aug 23) under the same reference and title - PS0016. This is the next stage (Stage 1) of the process. Special terms and conditions The Parties shall not, and the Supplier shall procure that any Sub-contractor shall not, during the Term and for twelve (12) months following the termination of this Agreement either directly or indirectly solicit or entice away (or seek to attempt to solicit or entice away) from the employment or engagement of the other Party any person employed or engaged by such other Party in the provision of the Services or (in the case of the Authority) in the receipt and/or administration of the Services. For the avoidance of doubt, this restriction shall not apply to any information and consultation obligations on either Party in respect of any Staff Transfer. The Supplier shall not, and the Supplier shall procure that any Subcontractor shall not, during the Term and for twelve (12) months following the termination of this Agreement either directly or indirectly solicit or entice away (or seek to attempt to solicit or entice away) from the employment or engagement of the Buyer in the receipt and/or administration of the services provided under this Agreement. The provisions of this Clause shall not apply to restrict either Party from employing or engaging (or offering to employ or engage) any personnel of the other Party who has responded to general recruitment advertising.
