Legal Services under English and Italian Law, and Multi-jurisdiction Legal Services for International Project Financing Transactions

The EIB is seeking to establish multi-operator framework agreements for the provision of (i) legal services under English law and Italian law covering various operational areas of work for the Bank; and (ii) multi-jurisdiction legal services in respect of international project financing transactions. Lot 1: English Law General and Institutional This lot covers general advice under English law including, in particular, in the following fields: — public and administrative law, — public international and private law, — dispute resolution (advisory), — sovereign debt, — banking and finance transactions, — banking and finance regulatory, — capital markets regulatory, — restructuring and bankruptcy, — tax law, — funds and venture debt. Lot 2: English Law Lending and Finance, PPP / Infrastructure and Private Equity This lot covers transactional support and general advice in respect of the origination and restructuring of the following transactions governed by English law: — lending and finance operations with a focus on structured finance, PPP / project finance transactions, whole business securitisations, secured social housing transactions, financing through subscription of bonds, venture debt and transactions guaranteed by the EIB; — investment funds and other similar equity operations with a focus on advice and transactional support for EIB as an investor in investment funds, platforms and other vehicles set up under English law. Lot 3: Italian Law PPP / Project Finance This lot covers transactional support and general advice in respect of the origination, arrangement and restructuring of PPP and non-recourse/limited recourse project financing transactions governed by Italian law. Lot 4: Multi-Juridiction International Project Finance This lot covers transactional support and general advice in respect of the origination, arrangement and restructuring of international / cross-border project financing transactions, where the main finance documents are governed by one or more of the following governing laws: Laws of England and Wales; German law; French law; Italian law; Spanish law; New York State law.
